Terms of Service — d.P. Studio NYC

Welcome to d.P. Studio NYC ("we," "us," "our"). These Terms of Service ("Terms") govern your use of dpstudionyc.com and d-p-studio-nyc.myshopify.com (the "Site") and any purchase you make from us. By using the Site or placing an order, you agree to these Terms.

Our Shipping Policy and Refund Policy are part of these Terms. They set out our turnaround times, Rush service, payment, cancellation, final sale and refund rules. If these Terms and either policy ever differ on those subjects, the policy governs.

1. Eligibility

You must be at least 18 years old, or the age of majority in your state, to place an order on this Site. If you are under 18, you may use the Site only with the involvement of a parent or guardian.

2. Our Products

d.P. Studio NYC creates made-to-order custom fight apparel (fight kit) for boxing and Muay Thai, as well as select Ready-to-Ship pre-made styles. By placing a custom order, you understand and agree that:

  • Each piece is built to your specifications (size, fabric, color, customization) and is not a stock item.
  • Minor variations in color, texture, or finish may occur between what's shown on-screen and the finished product, due to the nature of custom fabrics, dye lots, and monitor display differences.
  • Sizing is your responsibility. We provide detailed sizing guidance on our Sizing page, and we're glad to help you choose — but you are responsible for providing accurate measurements and confirming your size before you pay.
  • Our apparel is not protective or safety equipment. If you compete under a sanctioning body, athletic commission, or promotion with its own rules on ring attire (colors, materials, logos, or approval procedures), it is your responsibility to confirm your piece complies before fight night. We are not responsible for a piece being rejected or restricted by a commission or promoter.

3. The Design Process

Custom orders follow the process described on our Design Process page: you share your vision, we send sketches and an invoice together, and production begins when your invoice is paid in full. By paying an invoice, you confirm the attached design, fabric, colors, customization details and size(s). See our Refund Policy for payment, changes and cancellation.

4. Pricing & Payment

  • Prices shown reflect the base garment and fabric. Final pricing may vary based on design complexity, customization, and embellishment. Your invoice states your final price before you pay.
  • We accept Zelle, Visa, Mastercard, American Express, and Discover.
  • Bundle discounts, bulk order discounts, and the Rush fee are applied as described on our Pricing page and Shipping Policy at the time of your order.
  • All prices are listed in U.S. Dollars.

5. Shipping & Delivery

Turnaround times, Rush service, pickup and drop-off are described in our Shipping Policy. Ship dates are estimates and are not guaranteed delivery dates. We are not responsible for delays caused by the shipping carrier once your order has left our hands.

6. Cancellations & Changes

Cancellation and change rules are described in our Refund Policy.

7. Returns, Exchanges & Refunds

All sales are final. Returns, exchanges, claims for damaged or non-conforming orders, and refunds are governed by our Refund Policy.

8. Repairs & Alterations

All orders include free repairs and alterations to ensure proper fit. Contact info@dpstudionyc.com to arrange a repair or alteration.

9. Intellectual Property

  • All original designs, templates, patterns, and creative work produced by d.P. Studio NYC remain our intellectual property, whether or not a given design is ultimately purchased.
  • If you submit a logo, image, text, or other artwork for us to incorporate into your custom piece, you represent that you own the rights to that material or have permission to use it, and you grant us permission to reproduce it solely for the purpose of fulfilling your order.
  • You may not reproduce, resell, or repurpose our designs, photography, or site content without written permission.

10. Text Message (SMS) Program Terms

If you opt in to text messages from d.P. Studio NYC:

  • You consent to receive marketing and transactional text messages (including order updates and cart reminders) sent using automated technology.
  • Consent is not a condition of purchase.
  • Message and data rates may apply; message frequency varies.
  • Reply STOP to opt out at any time, or HELP for assistance.
  • See our Privacy Policy for how we use and protect your phone number.

11. Prohibited Use

You agree not to use the Site to: violate any law; infringe on the intellectual property or rights of others; upload artwork you don't have rights to; attempt to gain unauthorized access to the Site or our systems; or interfere with the Site's normal operation.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH WARRANTIES CANNOT BE EXCLUDED OR LIMITED BY LAW. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY PRODUCT WILL BE FREE FROM DEFECT.

While we take real care in construction and quality control, and we back every order with the repairs, alterations, and claims process described in our Refund Policy, this section describes the legal baseline behind that commitment.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, d.P. STUDIO NYC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR OPPORTUNITY — INCLUDING A MISSED FIGHT DATE — ARISING FROM YOUR USE OF THE SITE OR YOUR PURCHASE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF WE DO NOT MEET A SHIP DATE, YOUR REMEDIES ARE LIMITED TO THOSE DESCRIBED IN OUR SHIPPING POLICY AND REFUND POLICY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THAT ORDER.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by our negligence, fraud, or willful misconduct.

14. Indemnification

You agree to indemnify and hold d.P. Studio NYC harmless from any claims, damages, or expenses arising from your violation of these Terms or your misuse of the Site, including claims related to artwork or logos you submitted without proper rights.

15. Force Majeure

We are not responsible for delay or failure to perform any obligation under these Terms where the delay or failure results from causes beyond our reasonable control, including fire, flood, severe weather, labor dispute, supplier or material shortage, government action, or disruption to shipping or carrier networks. If a force majeure event affects your order, we will let you know and work with you on a new timeline, consistent with our Shipping Policy.

16. Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or your order will be brought exclusively in the state or federal courts located in Bronx County, New York, and you consent to that jurisdiction and venue.

17. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.

18. No Waiver

Our failure to enforce any part of these Terms is not a waiver of our right to do so later.

19. Entire Agreement

These Terms, together with our Shipping Policy and Refund Policy, are the entire agreement between you and d.P. Studio NYC regarding your use of the Site and any order, and replace any earlier agreement or understanding on those subjects.

20. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our business, without needing your consent.

21. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
